LexaGene Holdings Inc. (TSX-V: LXG) (OTCQB: LXXGF) has closed its previously announced bought deal offering of units for aggregate gross proceeds of $5.75 million. In connection with this closing the underwriters exercised the over-allotment option in full. As a result, the Company issued 5,750,000 units at a price of $1.00 per unit, each unit consisting of one common share and one –half of one common share purchase warrant. Each whole warrant entitles the holder to purchase, subject to adjustment in certain circumstances, one additional common share at a price of $1.30 per common share until July 11, 2021.
The financing was led by Canaccord Genuity Corp. and included Echelon Wealth Partners Inc. The Company issued to the underwriters an aggregate of 402,500 compensation warrants, each compensation warrant entitling the holder to purchase one common share of the Company at a price of $1.00 per share until July 11, 2021.
The net proceeds of the Offering will be used to accelerate the commercialization and deployment of the Company’s Microfluidic technology and for working capital purposes.
The Offering was completed by way of a short form prospectus filed in all of the provinces of Canada except Quebec. The securities offered have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold in the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from the registration requirements.
